Effective Date: September 1, 2026
These Trailer Rental Terms & Conditions ("Terms") apply to all trailer rentals provided directly by Shloop LLC ("Shloop," "we," "us," or "our").
By booking, paying for, picking up, or using a Shloop trailer, you ("Renter," "you," or "your") agree to these Terms.
Shloop rents trailers directly to customers for approved personal and business uses.
The Renter is responsible for the trailer from the time it is released by Shloop until it is returned to Shloop and accepted back into Shloop's possession.
A rental is not considered complete until the trailer has been returned and inspected by Shloop.
The Renter must provide accurate information and meet Shloop's rental requirements before receiving a trailer.
Shloop may require:
A valid driver's license.
Proof of identity.
Proof of appropriate vehicle insurance.
Information about the tow vehicle.
A valid payment method.
A security deposit when applicable.
Additional information reasonably necessary to approve the rental.
Shloop may refuse a rental when the Renter, tow vehicle, intended use, or other circumstances do not meet Shloop's safety or rental requirements.
The Renter is responsible for providing a tow vehicle that is legally registered, properly maintained, properly insured, and capable of safely towing the rented trailer.
The Renter is responsible for confirming:
Towing capacity.
Hitch compatibility.
Hitch height.
Trailer wiring.
Brake-controller requirements.
Vehicle and trailer weight limits.
Tire and load requirements.
Any other requirements necessary for safe towing.
Shloop is not responsible for damage resulting from a Renter using an unsuitable tow vehicle or towing equipment.
The Renter must inspect the trailer before leaving with it.
Existing damage should be documented during the pickup inspection.
By accepting the trailer, the Renter acknowledges that the trailer was provided in the condition documented during the inspection, except for issues reported to and accepted by Shloop before departure.
Shloop may photograph or otherwise document the trailer's condition before and after a rental.
The Renter agrees to use the trailer carefully, safely, and only for lawful purposes.
The Renter must follow all applicable federal, state, and local laws, including applicable towing, weight, traffic, and safety requirements.
The Renter may not:
Overload the trailer.
Exceed the trailer's rated capacity.
Use an unsuitable tow vehicle.
Allow an unauthorized driver to use the trailer.
Sub-rent or transfer the trailer.
Modify the trailer.
Remove or alter safety equipment.
Use the trailer for illegal activities.
Transport prohibited materials.
Operate the trailer recklessly or negligently.
Shloop may immediately terminate a rental if the trailer is being used in an unsafe, unlawful, or unauthorized manner.
The Renter is solely responsible for properly loading, securing, and unloading all cargo.
Cargo must remain within the trailer's applicable weight and dimensional limits.
The Renter is responsible for any damage caused by improperly loaded, unsecured, or excessive cargo.
Shloop is not responsible for damage to, loss of, or theft of the Renter's cargo or personal property unless otherwise required by law.
The Renter is responsible for returning the trailer in substantially the same condition in which it was provided, excluding ordinary wear and tear.
The Renter may be responsible for damage caused by misuse, negligence, improper loading, improper towing, accidents, unauthorized use, or failure to follow these Terms.
Potential charges may include reasonable costs associated with:
Repairs.
Replacement parts.
Cleaning.
Recovery.
Towing.
Storage.
Lost rental time.
Replacement of the trailer when repair is not reasonably practical.
Shloop will provide notice of applicable charges when reasonably possible.
If an accident or emergency occurs, the Renter must prioritize everyone's safety and contact emergency services when necessary.
The Renter must also notify Shloop as soon as reasonably possible.
The Renter should:
Contact law enforcement when required.
Obtain necessary information from other parties.
Take photographs of the trailer and surrounding area.
Avoid admitting fault on behalf of Shloop.
Cooperate with insurance claims and investigations.
Follow reasonable instructions provided by Shloop.
The Renter must not abandon the trailer without contacting Shloop unless necessary for immediate safety.
The Renter must immediately notify Shloop and law enforcement if the trailer is stolen, lost, or cannot be located.
The Renter may be responsible for losses resulting from unauthorized use, abandonment, negligence, or failure to take reasonable care of the trailer, to the extent permitted by law.
The rental period begins at the agreed pickup time and ends when the trailer is returned to Shloop and accepted by Shloop.
The Renter must return the trailer by the agreed return time.
Shloop is not responsible for scheduling conflicts, delays, or other problems caused by a Renter returning a trailer late.
Late returns may result in additional rental charges.
Repeated or significant late returns may result in suspension or termination of the Renter's ability to rent from Shloop.
Returning a trailer early does not automatically entitle the Renter to a refund.
Any refund for an early return will be determined according to the applicable booking or cancellation policy.
Cancellation policies may vary depending on the rental selected.
The cancellation policy displayed during the booking process will apply to the reservation.
Shloop may retain applicable fees or amounts when permitted by the stated cancellation policy.
Payments may be processed electronically through Stripe or another payment processor selected by Shloop.
The Renter authorizes Shloop and its payment processor to charge the payment method provided for applicable rental charges, fees, deposits, damage charges, late fees, or other amounts properly owed under the rental agreement, subject to applicable law.
A security deposit may be required before the trailer is released.
Any applicable deposit will be handled according to Shloop's rental and refund policies.
The Renter is responsible for maintaining insurance appropriate for the use of the trailer and tow vehicle.
Before renting, the Renter should confirm with their insurance provider that their policy provides coverage for towing and use of a rented trailer.
Shloop does not guarantee that the Renter's insurance will cover the trailer, cargo, tow vehicle, or any particular loss.
Shloop may require proof of insurance before releasing a trailer.
The Renter is responsible for using reasonable judgment regarding weather, road conditions, terrain, towing conditions, and other circumstances affecting safe operation.
The Renter must not use the trailer in conditions that create an unreasonable safety risk.
Shloop may provide reasonable safety instructions or restrictions for particular trailers.
If a mechanical problem occurs, the Renter must stop using the trailer when continued operation could cause additional damage or create a safety risk and contact Shloop.
The Renter must not authorize major repairs without Shloop's approval except when immediate action is reasonably necessary to protect people or prevent significant property damage.
Normal mechanical failures not caused by the Renter will be handled by Shloop according to the circumstances.
Damage resulting from misuse, overloading, negligence, or unauthorized modifications may be charged to the Renter to the extent permitted by law.
The Renter is responsible for removing all personal property and cargo before returning the trailer.
Shloop is not responsible for personal property left inside or attached to the trailer except as required by applicable law.
Shloop trailers may not be used for:
Illegal activities.
Transporting hazardous or prohibited materials.
Racing or speed events.
Reckless driving.
Unauthorized commercial activities.
Sub-rental.
Transporting loads exceeding the trailer's capacity.
Any activity prohibited by Shloop or applicable law.
Additional restrictions may apply to individual trailers.
Shloop may refuse to release a trailer or terminate a rental when reasonably necessary for safety, legal compliance, payment issues, inaccurate information, equipment limitations, misuse, or violation of these Terms.
If a rental is terminated, the Renter must promptly return the trailer as instructed by Shloop.
To the fullest extent permitted by applicable law, Shloop is not responsible for indirect, incidental, special, or consequential losses arising from a rental.
Nothing in these Terms is intended to waive or limit any liability that cannot legally be waived or limited.
The Renter remains responsible for their own actions, decisions, vehicle, cargo, and use of the trailer.
The Renter agrees to use the trailer responsibly and to comply with all applicable laws and Shloop requirements.
The Renter is responsible for verifying that their tow vehicle, driver, insurance, equipment, and intended use are appropriate before beginning the rental.
To the fullest extent permitted by applicable law, the Renter agrees to be responsible for claims, losses, damages, or expenses resulting from the Renter's negligence, intentional misconduct, unlawful activity, violation of these Terms, or unauthorized use of the trailer.
This provision does not require the Renter to assume responsibility for liability that cannot legally be transferred to the Renter.
By checking an agreement box, clicking a booking or payment button, submitting a reservation, signing electronically, or otherwise accepting these Terms through the Shloop website, the Renter acknowledges that they have read, understood, and agreed to these Terms.
Electronic acceptance may constitute the Renter's electronic signature and agreement to these Terms to the extent permitted by applicable law.
Shloop may update these Terms from time to time.
The Terms applicable to a rental are generally the Terms presented and accepted by the Renter at the time of booking.
These Terms are governed by applicable law, including the laws of the State of New Mexico where applicable.
Any dispute will be handled in a court or other forum having proper jurisdiction.

These Japan Vehicle Import Terms & Conditions ("Terms") govern the purchase, importation, transportation, processing, and final transfer of vehicles arranged through Shloop LLC ("Shloop," "we," "us," or "our").
By purchasing, reserving, or participating in Shloop's Japan Vehicle Import Program, the customer ("Customer," "you," or "your") agrees to these Terms, along with any applicable invoice, purchase authorization, vehicle-specific agreement, or other written agreement provided by Shloop.
Shloop provides vehicle sourcing, purchasing, import coordination, transportation coordination, documentation assistance, and related services for vehicles sourced from Japan.
Shloop may work with auction houses, exporters, shipping companies, customs brokers, ports, government agencies, transportation companies, registration agencies, and other third parties.
Shloop may coordinate these services on the Customer's behalf, but Shloop does not control the actions, decisions, schedules, fees, policies, or requirements of third parties or government agencies.
The Customer may request or approve a specific vehicle for purchase.
Before purchasing a vehicle, Shloop may provide available information regarding the vehicle, including photographs, auction information, inspection information, specifications, mileage, condition reports, seller information, and other available documentation.
The Customer is responsible for reviewing and approving the vehicle before Shloop purchases it.
Once the Customer authorizes Shloop to purchase a vehicle, that authorization may become binding and may result in non-refundable costs.
Once Shloop receives the required authorization and funds, Shloop may purchase the approved vehicle from the applicable Japanese seller, auction, exporter, or other source.
Once purchased, the vehicle may be placed under Shloop's ownership and control for purposes of completing the importation, transportation, title, and registration process.
The Customer understands that Shloop may purchase and hold the vehicle in Shloop's name while completing the import process.
Vehicles imported through Shloop's program remain under Shloop LLC's ownership and control during the importation and registration process, unless a separate written agreement states otherwise.
Payment toward a vehicle or approval of a vehicle does not, by itself, complete the final transfer of title or ownership to the Customer.
Shloop may retain the vehicle in its name while completing applicable:
International transportation
U.S. Customs processing
Import documentation
EPA requirements
NHTSA requirements
Port processing
Storage
State title requirements
State inspection requirements
Registration requirements
Taxes and fees
Other applicable government or administrative requirements
The Customer may not sell, transfer, assign, pledge, export, modify, or otherwise dispose of the vehicle while Shloop retains ownership and control unless Shloop provides written authorization.
The final transfer of the vehicle to the Customer will occur through the title, ownership, and registration process agreed upon by Shloop and the Customer.
Shloop will provide the applicable ownership documents and complete the agreed transfer process once the vehicle has satisfied the applicable requirements.
The Customer understands that the vehicle may remain registered, titled, or otherwise documented in Shloop's name until the final transfer process is completed.
Temporary possession or authorized use of a vehicle before final transfer does not automatically constitute completion of the final ownership transfer.
The Customer understands that importing a vehicle into the United States involves federal and state requirements.
Shloop may assist with the import process, but the Customer understands that eligibility can depend on the vehicle's age, manufacture date, specifications, emissions equipment, safety equipment, modifications, documentation, and other factors.
For vehicles that are at least 25 years old, federal NHTSA requirements may provide an exemption from certain Federal Motor Vehicle Safety Standards requirements. EPA requirements are separate and may also apply.
A vehicle being 25 years old does not mean that every import, title, or registration requirement is automatically satisfied.
The Customer is responsible for providing accurate information and documentation necessary to determine eligibility.
Vehicles imported into the United States may be subject to requirements administered by the National Highway Traffic Safety Administration (NHTSA) and the U.S. Department of Transportation.
Shloop may assist with applicable documentation and procedures.
However, Shloop does not guarantee that NHTSA, DOT, or another government agency will approve a vehicle, accept a document, or process an import within a specific period.
Vehicles imported into the United States may also be subject to requirements administered by the U.S. Environmental Protection Agency (EPA).
EPA requirements are separate from NHTSA requirements.
The Customer understands that additional documentation, certifications, exemptions, inspections, modifications, or other requirements may apply depending on the vehicle.
Shloop does not guarantee EPA approval or exemption.
Imported vehicles must comply with applicable U.S. Customs and Border Protection requirements.
Shloop may coordinate or assist with customs entry, documentation, duties, tariffs, bonds, port processing, and related services.
Customs may require additional information, documentation, inspections, fees, duties, or other actions.
Shloop is not responsible for delays, additional charges, inspections, holds, seizures, or other actions caused by U.S. Customs and Border Protection or another government agency, except to the extent directly caused by Shloop's own unlawful conduct or failure to perform an obligation expressly agreed to in writing.
The Customer is responsible for applicable government charges associated with the vehicle unless a written agreement specifically states otherwise.
These may include:
Customs duties
Tariffs
Federal fees
State taxes
Registration fees
Title fees
Inspection fees
Port fees
Storage fees
Customs fees
Broker fees
Bond fees
Transportation charges
Documentation fees
Other government or third-party charges
Government fees, tariffs, taxes, and other charges may change after a vehicle has been purchased.
Shloop is not responsible for unexpected increases in government fees, tariffs, taxes, or other third-party charges.
Shloop may coordinate transportation of the vehicle from Japan to the United States and from the U.S. port to another destination.
Shipping schedules are controlled by shipping companies, ports, vessels, weather, customs, labor conditions, transportation providers, government agencies, and other factors outside Shloop's control.
Shloop does not guarantee a specific arrival date, port release date, or delivery date unless expressly agreed to in writing.
Vehicles may incur storage, terminal, port, demurrage, handling, or other charges while awaiting processing, customs clearance, transportation, or pickup.
The Customer is responsible for applicable charges associated with the vehicle unless otherwise stated in writing.
Failure to pay required charges may result in additional fees, delays, storage charges, or other consequences.
The Customer understands that imported vehicles may have wear, damage, rust, mechanical issues, cosmetic defects, previous repairs, modifications, or other conditions that may not be apparent from photographs or available reports.
Japanese auction grades, inspection reports, seller descriptions, photographs, and other third-party information are not guarantees of vehicle condition.
Shloop does not guarantee the mechanical condition, cosmetic condition, mileage accuracy, previous ownership history, accident history, maintenance history, or overall condition of a vehicle unless Shloop expressly provides a separate written warranty.
Vehicle information may come from auctions, exporters, dealers, inspectors, shipping companies, government agencies, and other third parties.
Shloop may rely on information provided by these parties.
Shloop is not responsible for inaccurate, incomplete, outdated, or misleading information supplied by a third party unless Shloop knowingly misrepresented that information.
If an inspection is available, Shloop may arrange or recommend an inspection before purchase.
The Customer understands that an inspection cannot identify every possible mechanical, electrical, structural, cosmetic, or future issue.
An inspection is not a guarantee that a vehicle will arrive in the condition described or remain mechanically reliable after purchase.
The Customer understands that a vehicle may require modifications, repairs, inspections, equipment changes, emissions work, safety work, or other compliance measures before it can be titled or registered.
The Customer is responsible for applicable costs unless Shloop has specifically agreed in writing to cover those costs.
Shloop does not guarantee that a vehicle can be registered in every U.S. state.
Title and registration requirements vary by state.
Shloop may assist with the applicable title and registration process.
The Customer understands that final registration is determined by the applicable state motor vehicle agency.
Shloop does not guarantee that a state agency will approve registration, issue a title, accept specific documentation, or complete the process within a particular timeframe.
Additional inspections, taxes, fees, documents, or compliance requirements may be required.
The Customer must provide accurate and complete information requested by Shloop.
This may include information necessary for:
Purchase documentation
Import documentation
Customs
Title
Registration
Insurance
Identification
Tax documentation
Government forms
Other legally required processes
The Customer is responsible for delays or additional costs caused by inaccurate, incomplete, expired, or late information provided by the Customer.
Until final transfer is completed, the Customer must follow all instructions provided by Shloop regarding the vehicle.
The Customer may not:
Sell the vehicle
Transfer the vehicle
Use the vehicle as collateral
Export the vehicle
Modify the vehicle without authorization
Remove identifying information
Tamper with documentation
Represent themselves as the registered owner
Allow unauthorized persons to possess or operate the vehicle
unless Shloop provides written authorization.
If Shloop allows the Customer to possess or operate the vehicle before final transfer, that permission is temporary and subject to Shloop's written authorization.
The Customer is responsible for lawful operation, insurance, damage, tickets, citations, towing, impound fees, accidents, and other costs arising from their possession or use of the vehicle.
Permission to use a vehicle before final transfer does not automatically transfer ownership.
The Customer is responsible for maintaining appropriate insurance whenever required by law or by Shloop's written agreement.
The Customer should confirm with their insurance provider that coverage applies to the imported vehicle and its intended use.
Shloop does not guarantee that a Customer's insurance policy will cover the vehicle.
Once a vehicle has been purchased, the Customer understands that the vehicle may be exposed to transportation, loading, unloading, storage, weather, port handling, and other risks.
Shloop will make reasonable efforts to coordinate transportation and handling.
Shloop is not responsible for damage caused by a third party, shipping company, port, carrier, weather event, accident, or other circumstance outside Shloop's reasonable control.
Any applicable claim will be handled according to the responsible party's insurance, contract, shipping terms, or applicable law.
If damage occurs during transportation, the Customer agrees to cooperate with Shloop and any applicable carrier, insurer, or claims administrator.
The Customer must provide photographs, documentation, statements, and other information reasonably necessary to process a claim.
Claims may be subject to deadlines established by shipping companies, insurers, ports, or other third parties.
Failure to provide requested information in a timely manner may affect the ability to pursue a claim.
All amounts owed to Shloop must be paid according to the applicable invoice, purchase authorization, or payment schedule.
Shloop may require payment before beginning or continuing certain services.
Payments may include vehicle purchase costs, import costs, transportation, fees, taxes, deposits, registration costs, administrative charges, and other agreed expenses.
Shloop may use Stripe or another authorized payment processor to process payments.
If additional costs arise during the import, transportation, title, or registration process, Shloop may notify the Customer and require payment before continuing the affected portion of the service.
Additional costs may result from:
Government requirements
Customs
Tariff changes
Storage
Transportation
Repairs
Inspections
Registration requirements
Documentation problems
Shipping delays
Exchange-rate changes
Third-party charges
Customer-requested changes
Vehicle purchases from Japan may involve Japanese Yen or another foreign currency.
The final U.S. dollar cost may vary due to exchange-rate changes, bank charges, payment processor fees, international transaction fees, or other financial costs.
Shloop is not responsible for losses caused by currency fluctuations or financial institution charges.
Once Shloop has purchased a vehicle or incurred non-refundable third-party costs on the Customer's behalf, cancellation may not result in a full refund.
The Customer may be responsible for:
Vehicle purchase costs
Auction fees
Export fees
Transportation
Shipping
Customs
Storage
Port fees
Administrative fees
Other non-refundable expenses
Any refund will be determined according to the applicable purchase agreement and amounts actually recoverable by Shloop.
If the Customer fails to make a required payment, Shloop may suspend services, delay transfer, refuse delivery, charge applicable fees, or take other lawful action permitted under the agreement.
The Customer remains responsible for costs incurred while the vehicle is awaiting payment or further instructions.
This may include storage, transportation, administrative, port, registration, and other fees.
If a Customer fails to complete the purchase, refuses delivery, fails to provide required information, or otherwise abandons the transaction, Shloop may take lawful steps to protect its ownership and recover amounts owed.
The Customer may remain responsible for costs incurred by Shloop as a result of the abandonment.
Shloop may use independent third parties to provide portions of the import process.
These may include:
Japanese exporters
Auction houses
Shipping companies
Customs brokers
Freight companies
Port operators
Inspectors
Mechanics
Registration services
Transportation companies
Government agencies
Shloop does not control these third parties and cannot guarantee their performance, schedules, pricing, or decisions.
Importation may be delayed by circumstances outside Shloop's reasonable control.
Examples include:
Vessel delays
Port congestion
Customs inspections
Government processing
Documentation issues
Weather
Natural disasters
Labor disputes
Transportation delays
Mechanical problems
Changes in law
Changes in government policy
Shipping disruptions
Third-party delays
Shloop does not guarantee a specific completion date unless expressly agreed to in writing.
Shloop is not responsible for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, war, government action, strikes, transportation disruptions, shipping disruptions, severe weather, port closures, or other extraordinary circumstances.
The Customer agrees to comply with all applicable federal, state, and local laws relating to the vehicle after final transfer.
The Customer is responsible for maintaining required registration, insurance, inspections, licensing, and other legal requirements after the vehicle is transferred.
Shloop does not guarantee that an imported vehicle will remain mechanically reliable, pass future inspections, retain a particular value, or satisfy future registration or emissions requirements.
Imported vehicles may require maintenance, repairs, parts, or modifications after delivery.
To the fullest extent permitted by law, Shloop is not responsible for indirect, incidental, special, consequential, or unforeseeable losses arising from the importation or purchase of a vehicle.
Shloop's liability, where legally applicable, will be limited to the obligations and amounts expressly agreed to in writing between Shloop and the Customer.
Nothing in these Terms is intended to exclude liability that cannot legally be excluded or limited under applicable law.
To the fullest extent permitted by law, the Customer agrees to protect and indemnify Shloop, its owners, employees, contractors, and agents from claims, damages, costs, penalties, or expenses arising from the Customer's unlawful conduct, misuse of the vehicle, unauthorized use, breach of these Terms, or failure to comply with applicable laws.
This provision does not require the Customer to indemnify Shloop for losses caused by Shloop's own conduct where such indemnification is prohibited by law.
Shloop does not control federal, state, or local government agencies.
Shloop cannot guarantee:
Customs clearance
EPA approval
NHTSA approval
Title issuance
Registration
Inspection approval
Tax determinations
Government processing times
Acceptance of specific documents
Government agencies have independent authority to approve, reject, inspect, delay, or impose additional requirements on a vehicle.
The Customer agrees that electronic acceptance of these Terms, electronic signatures, online payments, emailed approvals, website checkboxes, and other electronic records may be used to create and document the agreement between the Customer and Shloop.
The Customer agrees that electronic records may be used as evidence of authorization, approval, payment, and acceptance.
By purchasing, reserving, authorizing, or participating in Shloop's Japan Vehicle Import Program, the Customer confirms that they have read, understood, and agreed to these Terms.
The Customer also acknowledges that vehicle-specific agreements, invoices, purchase authorizations, or written amendments may contain additional terms applicable to a particular transaction.
If a vehicle-specific written agreement conflicts with these Terms, the vehicle-specific written agreement will control for that transaction.
Shloop may update these Terms from time to time.
The version applicable to a Customer's transaction will generally be the version accepted by the Customer at the time of the transaction, unless a later written agreement between Shloop and the Customer states otherwise.
If any portion of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
These Terms are governed by the laws of the State of New Mexico, unless applicable law requires otherwise.
Any dispute will be handled in a court or other legally appropriate forum with jurisdiction over the matter.
By proceeding with a Japan vehicle import through Shloop, the Customer acknowledges and agrees that:
Shloop may purchase and hold the vehicle in Shloop's name during the import and registration process.
Payment toward a vehicle does not automatically complete the final ownership transfer.
Final transfer will occur through the agreed title and registration process.
Registration is subject to the requirements and decisions of the applicable government agency.
Importation involves federal, state, shipping, customs, and third-party requirements.
Additional costs may occur during the process.
Import and registration timelines are not guaranteed.
Vehicle condition may differ from photographs, auction descriptions, or third-party reports.
The Customer is responsible for providing accurate information and required documentation.
The Customer may not sell, transfer, modify, or otherwise dispose of the vehicle before final transfer without Shloop's written authorization.
Shloop does not guarantee government approval, registration, shipping schedules, or third-party performance.
These Terms are part of the agreement governing the Customer's transaction with Shloop.
